ENGARDE represented Сlient in Post-M&A Dispute Against Prominent EU Banking Group
We defended the interests of our Client in Arbitration under ICC Arbitration Rules against a leading European banking group. ENGARDE was engaged with developing the strategy for the complex arbitration case and parallel multi-jurisdictional court proceedings, selecting and engaging competent lawyers from foreign jurisdictions relevant to the dispute, representing the Client before the Tribunal.
ENGARDE represented an Ukrainian gas producer in SCC dispute arrising out of anexation of Crimea
Our Arbitration Team has represented a Client in a dispute over performance of a drilling contract under conditions of force majeure caused by Crimea’s annexation by the Russian Federation. ENGARDE have represented the Client’s interests both in arbitration and in negotiations on amicable settlement. The dispute was settled and the decision of the arbitration tribunal was rendered with taking into consideration the parties’ settlement agreement.
ENGARDE lawyers advised Telenor in dispute on Kyivstar mobile operator
We advised Telenor in litigating cases in Ukrainian courts and international arbitration with regard to the dispute between Telenor and the other major shareholder of Kyivstar G.S.M. – Storm, wholly owned by the Russian Alfa Group Consortium.
Represented citizens in Kryvorizhstal reprivatization case
ENGARDE lawyers represented citizens in a dispute on improper privatization of Ukraine’s major steel works Kryvorizhstal. Thanks to our lawyers’ insights the state managed to sell the asset through legitimate transparent bidding for the record price of US$ 4.81 billion.
ENGARDE lawyers represented Joseph C. Lemire in the ICSID case under US-Ukraine BIT
Our team members represented Joseph C. Lemire in the ICSID case under US-Ukraine BIT over fair and equitable treatment of foreign investors by Ukraine. The tribunal ruled in favour of the Client and ordered Ukraine to pay app. US$ 8.7 million in damages.
ENGARDE represented Andrey Malitsky over unfair prejudice of shareholders’ rights
ENGARDE has represented Andrey Malitsky and Igor Filipenko in a cross-border dispute over unjust violation of shareholders’ rights. In this case we have lead an international legal team working in the BVI, UK and Ukraine. We have also advised on the issues of Ukrainian law. Besides, ENGARDE’s team has been involved in the enforcement of court decisions for the Clients.
BUSINESS LAW AND M&A
ENGARDE advised on creation of Metinvest Holding
ENGARDE’s M&A Team advised Smart Holding in the process of merger of its metallurgical and ore-mining assets with metallurgical and ore-mining assets of System Capital Management. We developed and implemented the legal strategy for creation of a joint venture by the two groups – Metinvest B.V.
ENGARDE advised on aquisition of Amstor retail network
The M&A Team of ENGARDE acted as legal advisor to an investor in the acquisition of the controlling stake in Amstor group of companies, a major retail network in Ukraine. Our work in the transaction concentrated on the issues of corporate and merger control law. These legal issues included a full-blown due diligence of the hypermarket network, structuring the deal, signing a number of participatory interest transfer agreements, establishing the holding company in a foreign jurisdiction, and concluding the shareholder agreement.
ENGARDE advised on creation of Veres Group
The firm’s transactional specialists advised a Client on structuring the acquisition of a majority stake in Veres group of companies, a leading canned food producer in Ukraine. As a part of the project ENGARDE’s Corporate Law team created a joint venture in the Netherlands, whereas the Intellectual Property lawyers advised on the acquisition of the trademark rights for “Veres” products.
ENGARDE advised on purchase of Regal Petroleum
We advised Energees Management Limited on acquisition of the British oil and gas company Regal Petroleum plc. This complex M&A transaction was regulated by the laws of Cyprus, England and Ukraine. ENGARDE lead the work of the multijurisdictional legal team entrusted with handling the above transaction. We also covered all the aspects of Ukrainian law, including the merger clearance with the Antimonopoly Committee of Ukraine.
ENGARDE advised on purchase of Bank Forum
Our M&A team acted as legal counsel to Yernamio Consulting Limited in connection with the acquisition of Bank Forum PJSC from Commerzbank. We supported the process of execution and signing of the share purchase agreement, including the structuring of the agreement, conducting a comprehensive legal due diligence, preparing the necessary documentation. ENGARDE was also instrumental in receiving the regulatory permits necessary for closing the transaction.
ENGARDE advised on development of Globus Mall
ENGARDE’s corporate lawyers advised the investors of Kyiv’s centrally located Globus Mall in successful development of the facility. Our advice included representing the Clients’ interests in drafting and negotiating the investment agreement with the Kyiv City State Administration.
ENGARDE advised on construction of Dream Town I mall
We drafted and negotiated the investment agreement for construction of Dream Town I mall in Kyiv. ENGARDE’s investment lawyers acted for the developer of the project.
ENGARDE advised Henkell on aquisition of sparkling wines factory “Stolychny”
Our M&A lawyers advised Henkell & Co. Sektkellerei GmbH on the acquisition of the controlling stake in a major Ukrainian sparkling wines manufacturer – The Kyiv Factory of Sparkling Wines “Stolychny.” Later on we advised the Client on a number of post-M&A projects, including dematerialization of the company’s shares, trademark-related work, and employment law issues resulting from change of ownership
