Overview

Andriy advises clients on corporate law, mergers and acquisitions, taxation, and general business matters. As a business law adviser with extensive litigation experience, he helps clients assess and manage legal risk with a grounded understanding of how disputes actually unfold.

Andriy brings direct business insight into a range of industries — including mining and metals, agriculture, and banking and finance — developed through board-level roles at Metinvest (2007–2013), MCB Agricole Holding (2009–2012), Agrokombank (2000–2003), Agricultural Enterprise Kalyta (2006–2012), and BM Bank-Ukraine, where he chaired the Supervisory Council in 2013. Earlier in his career he served as Deputy Chairman of the Department of Foreign Economy and Consulting at the Ukrainian Chamber of Commerce and Industry (1988–1991) and as adviser to the Minister of Privatisation of Ukraine (1991–1992).

He has assisted clients in establishing joint ventures and partnerships across multiple jurisdictions and industries, advising on choice of law and structure, majority and minority ownership, 50/50 governance arrangements, and related matters.

Representative experience

  • Acting as counsel for the State of Ukraine in an ICSID investment dispute initiated by Russian investors for an alleged breach of Ukraine’s obligations to protect foreign investments (amount in dispute approx. USD 200 million)
  • Representing a Ukrainian subsidiary of a Swedish truck leasing company in a complex corporate dispute against a local business partner (amount in dispute approx. EUR 2 million)
  • Acting as a Ukrainian law expert in Cyprus litigation in a shareholder dispute between two Cypriot holding companies of a major Ukrainian industrial enterprise, concerning the recovery of indebtedness for a controlling stake (amount in dispute approx. USD 600 million)
  • Advising TAKO/AST Holding on debt restructuring with a group of Ukrainian banks and leasing companies (amount approx. USD 22 million)
  • Representing YERNAMIO LLC as majority shareholder and ultimate beneficial owner of Forum Bank PJSC in a dispute against the National Bank of Ukraine and the State Deposit Guarantee Fund regarding liability for causing the bank’s bankruptcy (amount in dispute approx. UAH 5 billion)
  • Advising Smart Holding on the acquisition of 96% of shares in Forum Bank PJSC from Commerzbank Group (transaction value exceeding USD 100 million)
  • Advising Energees Management Limited (Cyprus) on the acquisition of Regal Petroleum Plc, a UK-listed company with hydrocarbon production assets in Ukraine (transaction value approx. GBP 100 million)
  • Advising Smart Holding on the establishment of Metinvest, the largest metallurgical company in Eastern Europe (capitalisation at establishment approx. USD 15 billion)
  • Representing a group of foreign and domestic investors in connection with the construction of Globus Mall in central Kyiv (20,000 m² of retail space)
  • Representing Eugene LLC in litigation against the Government of Ukraine, the Football Federation of Ukraine, and Kyiv City Council regarding the demolition of real estate with an approximate value of USD 300 million
